The Board of Directors serves as the company’s highest governance and decision-making body, responsible for overseeing overall business operations. To safeguard the company’s best interests, the Board has established functional committees, including the Audit Committee, Compensation Committee, and Sustainability Committee, to enhance board effectiveness, support governance oversight, and evaluate related issues. These committees also drive continuous improvements in regulatory compliance and internal controls. In addition, the company has adopted the Corporate Governance Best Practice Principles, which encompass protecting shareholder rights, strengthening board functions, enhancing the role of functional committees, respecting stakeholder interests, and improving information transparency.
Operations
Scientech is actively strengthening its portfolio of agency product lines while advancing equipment technology, expanding wafer reclamation applications, and continuously exploring diverse applications—including Insulated Gate Bipolar Transistors (IGBT), Silicon Carbide (SiC), photomasks, and back-end packaging cleaning. Looking ahead, as the semiconductor industry continues to grow in response to diverse demands from human-machine interfaces, digital media, artificial intelligence (AI), and the Internet of Things (IoT), these developments are expected to positively drive the company’s growth.
Regulatory Compliance
To promote ethical business practices, Scientech complies with government laws and regulations and has established the “Ethical Corporate Management Best Practice Principles,” “Sustainability Best Practice Principles,” “Code of Ethical Conduct for Directors and Managers,” “Procedures for Handling Cases of Illegal, Unethical, or Dishonest Conduct,” and “Insider Trading Prevention Guidelines.” These policies define reporting, disciplinary, and grievance mechanisms to ensure the effective implementation of integrity management. The company regularly reports to the Board of Directors on execution status and reinforces policy enforcement through training programs and signed self-regulatory commitments.
Scientech places great importance on ethical conduct, embedding integrity management policies into all levels of the organization. The company treats customers, suppliers, partners, and other stakeholders with fairness and integrity, adhering to high standards of business ethics and maintaining a zero-tolerance stance toward corruption and bribery. In line with the “Ethical Corporate Management Best Practice Principles” and the “Employee Code of Ethical Conduct,” Scientech has established clear anti-corruption and anti-bribery systems and conducts annual training sessions for directors, managers, current employees, and new hires.
Supply Chain Management
Scientech has established long-term, stable partnerships with suppliers, aiming to jointly fulfill social responsibilities, ensure supply chain stability, and embody the spirit of sustainable operations. The company has formulated the “Scientech Supplier Code of Conduct,” requiring supply chain partners to adhere to the same standards. Internally, Scientech has also established the “Supplier Management Procedures” and “Procurement Management Procedures” as guiding principles for supplier management.
In addition, Scientech has implemented an Environmental, Safety, and Health (ESH) policy — “Comply with government regulations and customer requirements, implement pollution prevention and energy conservation/carbon reduction, enhance workplace safety and health awareness, and continuously review, improve, and mitigate risks.” This policy is published on the company’s official website to emphasize the importance of environmental protection, safety, and hygiene.
Furthermore, in line with the Responsible Business Alliance (RBA) Code of Conduct, Scientech actively communicates with suppliers, encouraging them to enhance both the breadth and depth of their management practices. Supported by internal management regulations, Scientech seeks to integrate supply chain partners in contributing to sustainable development.
Customer Service and Information Security
“Providing customers with high-quality products and services, meeting customer needs, and becoming a world-class equipment and service provider” is Scientech’s quality policy. To achieve this goal, the company obtained ISO 9001 Quality Management System certification in 2007. Through standardized processes and documentation, Scientech ensures that both product manufacturing and service delivery consistently meet quality requirements.
With the widespread adoption of information technology, the operational risks and impacts it brings to enterprises have become an essential consideration in business management systems. Currently, industries face major information system risks from cyberattacks, data breaches, and unexpected ICT disruptions. To effectively address these three risks, Scientech has adopted the ISO 27001:2022 Information Security Management System standard to establish a robust information security framework. This framework covers strategy, awareness, management, and technology to ensure comprehensive security practices. Scientech first achieved ISO 27001:2013 certification in 2019 and obtained the updated ISO 27001:2022 certification in 2022, continuously strengthening its cybersecurity defenses.
Furthermore, Scientech has integrated ISO 22301 into its operations, incorporating information security into the company’s Business Continuity Management System (BCMS). By enhancing cybersecurity resilience, the company has built a solid foundation for stable operations. In 2024, both the Hsinchu office and Hukou plant successfully obtained ISO 22301 and ISO 27001 certifications in July and October, respectively, and continue to maintain compliance.
To protect customer privacy, Scientech has established an Information Security Policy to ensure system stability, safeguard company and customer data, and remain aligned with domestic and international privacy protection regulations.
